Farleys Solicitors has advised the shareholders of Northern Shire Facilities Management and Catering Partnership on the successful sale of the businesses to Climate Care Solutions.
The transaction sees the acquisition of two well-established North West businesses that operate nationally across England, Scotland and Wales, supporting more than 1,000 customer locations. Northern Shire Facilities Management specialises in commercial duct cleaning and ventilation hygiene services, while Catering Partnership provides commercial kitchen appliance servicing, maintenance and installation.
Founded in 1993 by shareholder Graham Heath, Northern Shire has grown from a small commercial contract cleaning business into a leading national provider of specialist ventilation and extraction system cleaning services. Together, Graham Heath and Denise Southworth have built the group into a highly respected specialist services provider, developing long-standing relationships with blue-chip organisations including McDonald’s, Mitchells & Butlers, Robinsons Brewery and Parkdean Resorts.
Corporate Partner Richard Bell and Solicitor Amy Jones advised the shareholders throughout the transaction, providing legal support to ensure a smooth and successful completion. Specialist property advice was also provided by Molly Greenwood from Farleys’ Commercial Property team.
Richard Bell, Corporate Partner at Farleys Solicitors, commented:
Farleys were really pleased to have worked with and assisted Denise and Graham as part of the sell-side advisory team, together with Pierce. The hard work they have put into developing their business and establishing such a strong name in the sector over the last 30 years is no doubt in good hands for the future with Climate Care Solutions. This is a great outcome for all stakeholders involved in the deal.
Commenting on the transaction, Graham Heath said:
“After more than 30 years of building Northern Shire, it was extremely important to us to find a buyer who would continue to support our employees, maintain the high standards our customers expect and help take the business forward.
“Climate Care Solutions proved to be the right fit, sharing our values and commitment to service excellence. The support and advice we received throughout the transaction helped us achieve a successful outcome for everyone involved.”
Denise Southworth added:
“Having helped build and support these businesses over many years, it was important to us to find a buyer who recognised the value of our team, customer relationships and reputation in the market.
“Climate Care Solutions provides an excellent home for the group’s future growth, and we are delighted to have achieved an outcome that protects the legacy of the businesses while creating opportunities for employees and customers alike.”
Climate Care Solutions’ acquisition of the businesses secures the long-term future of both Northern Shire Facilities Management and Catering Partnership, while enabling Graham Heath and Denise Southworth to realise the value created through more than three decades of ownership and growth.
As part of the wider Climate Care Solutions group, the businesses are well positioned to continue their growth trajectory, with continuity for employees, customers and suppliers remaining a key priority throughout the transition.
Farleys worked alongside Pierce, which provided corporate finance and tax advisory support throughout the transaction.
